{"id":5085,"date":"2023-02-24T10:54:32","date_gmt":"2023-02-24T09:54:32","guid":{"rendered":"https:\/\/www.fabregat-perulles-sales.com\/actualidad\/?p=5085"},"modified":"2023-02-24T10:55:25","modified_gmt":"2023-02-24T09:55:25","slug":"importantes-novedades-ley-startups-de-base-tecnologica","status":"publish","type":"post","link":"https:\/\/www.fabregat-perulles-sales.com\/actualidad\/importantes-novedades-ley-startups-de-base-tecnologica\/","title":{"rendered":"IMPORTANTES NOVEDADES LEY STARTUPS DE BASE TECNOL\u00d3GICA"},"content":{"rendered":"<p>El 21 de diciembre de 2022, el Congreso de Diputados aprob\u00f3\u00a0definitivamente la\u00a0<strong>Ley\u00a0\u00a028\/2022, de 21 de diciembre,\u00a0 2022, de fomento del ecosistema de las empresas emergentes, conocida como la \u201cLey de\u00a0<em>startups<\/em>\u201d<\/strong>, cuyo objetivo es establecer un marco normativo espec\u00edfico para apoyar la creaci\u00f3n y el crecimiento de las\u00a0<strong>empresas emergentes, <\/strong>atraer nuevas inversiones y talento internacional \u2013 <em>digital nomads<\/em>, a la vez que ofrece medidas de car\u00e1cter fiscal\u00a0 para retener a emprendedores y trabajadores en territorio de Espa\u00f1a.<\/p>\n<p>La Ley de Startups entr\u00f3 en vigor en fecha 23 de diciembre de 2022 con el objetivo de establecer un marco normativo espec\u00edfico para apoyar la incorporaci\u00f3n y crecimiento de las startups en el territorio de Espa\u00f1a.<\/p>\n<p>La ley introduce importantes\u00a0novedades, entre las cuales destacan, los beneficios fiscales y sociales para\u00a0<strong>empresas emergentes\/EE\/o startups<\/strong>; que incluye empresas nacidas en el sistema de ciencia y tecnolog\u00eda, conocidas como las empresas de base tecnol\u00f3gica o cient\u00edfica.<\/p>\n<p><img decoding=\"async\" loading=\"lazy\" class=\"aligncenter size-full wp-image-5086\" src=\"https:\/\/www.fabregat-perulles-sales.com\/actualidad\/wp-content\/uploads\/2023\/02\/IMPORTANTES-NOVEDADES-LEY-STARTUPS-DE-BASE-TECNOLO\u0301GICA.jpg\" alt=\"IMPORTANTES NOVEDADES LEY STARTUPS DE BASE TECNOL\u00d3GICA\" width=\"1280\" height=\"701\" srcset=\"https:\/\/www.fabregat-perulles-sales.com\/actualidad\/wp-content\/uploads\/2023\/02\/IMPORTANTES-NOVEDADES-LEY-STARTUPS-DE-BASE-TECNOLO\u0301GICA.jpg 1280w, https:\/\/www.fabregat-perulles-sales.com\/actualidad\/wp-content\/uploads\/2023\/02\/IMPORTANTES-NOVEDADES-LEY-STARTUPS-DE-BASE-TECNOLO\u0301GICA-300x164.jpg 300w, https:\/\/www.fabregat-perulles-sales.com\/actualidad\/wp-content\/uploads\/2023\/02\/IMPORTANTES-NOVEDADES-LEY-STARTUPS-DE-BASE-TECNOLO\u0301GICA-768x421.jpg 768w, https:\/\/www.fabregat-perulles-sales.com\/actualidad\/wp-content\/uploads\/2023\/02\/IMPORTANTES-NOVEDADES-LEY-STARTUPS-DE-BASE-TECNOLO\u0301GICA-1024x561.jpg 1024w, https:\/\/www.fabregat-perulles-sales.com\/actualidad\/wp-content\/uploads\/2023\/02\/IMPORTANTES-NOVEDADES-LEY-STARTUPS-DE-BASE-TECNOLO\u0301GICA-660x361.jpg 660w\" sizes=\"(max-width: 1280px) 100vw, 1280px\" \/><\/p>\n<p>&nbsp;<\/p>\n<p><em>\u00a0<strong><u>CONCEPTO EMPRESAS EMERGENTES\/EE\/ STARTUPS:<\/u><\/strong><\/em><\/p>\n<p>A tal fin, la ley establece unos\u00a0<strong>REQUISITOS espec\u00edficos\u00a0<\/strong>que deber\u00eda reunir de f<strong>orma simult\u00e1nea\u00a0<\/strong>una empresa para acceder a los beneficios y medidas de apoyo anunciadas en la Ley.<\/p>\n<ul>\n<li><strong><u>Antig\u00fcedad:<\/u><\/strong>Ser empresa de nueva creaci\u00f3n\u00a0en territorio de Espa\u00f1a o no haber transcurrido m\u00e1s de\u00a0<strong>5 a\u00f1os<\/strong>desde\u00a0su inscripci\u00f3n en\u00a0el Registro Mercantil con car\u00e1cter general, o\u00a0<strong>7 a\u00f1os<\/strong>\u00a0en\u00a0el caso de las empresas de\u00a0biotecnolog\u00eda, energ\u00eda, o industriales y de aquellas que se determinen\u00a0como pertenecientes a sectores estrat\u00e9gicos o que hayan desarrollado tecnolog\u00eda propia dise\u00f1ada \u00edntegramente en Espa\u00f1a.<\/li>\n<li><strong><u>Independencia:<\/u><\/strong>Tener sede, domicilio social o establecimiento permanente en territorio\u00a0espa\u00f1ol.<\/li>\n<li><strong><u>No haber surgido de operaciones de fusi\u00f3n, escisi\u00f3n, transformaci\u00f3n,\u00a0concentraci\u00f3n o segregaci\u00f3n<\/u><\/strong>(incluidas concentraciones y\u00a0segregaciones), con la excepci\u00f3n de aquellas surgidas de otras\u00a0empresas emergentes o aquellas empresas de base tecnol\u00f3gica\u00a0 spin-off \u00a0originadas en universidades p\u00fablicas.<\/li>\n<li>Al menos el 60% de la plantilla deber\u00e1 tener un <strong><u>contrato laboral en\u00a0Espa\u00f1a<\/u><\/strong><u>.<\/u> En el caso de las cooperativas computar\u00e1n como parte de la\u00a0plantilla, y a efectos de dicho porcentaje, los socios; los socios\u00a0trabajadores y los socios de trabajo cuya relaci\u00f3n sea de naturaleza\u00a0societaria.<\/li>\n<li><strong><u>Car\u00e1cter innovador:<\/u><\/strong>Desarrollar un proyecto de\u00a0<strong>emprendimiento innovador<\/strong>que cuente con un\u00a0<strong>modelo de negocio escalable<\/strong>.<\/li>\n<li><strong><u>No estar cotizada<\/u><\/strong><strong>:<\/strong>No cotizar en un mercado regulado.<\/li>\n<li><strong><u>No distribuir ni haber distribuido dividendos<\/u><\/strong> (o retornos en el caso de\u00a0las cooperativas) desde la constituci\u00f3n de la empresa.<\/li>\n<li><strong><u>Volumen de negocio inferior a 10 millones<\/u><\/strong><u>:<\/u>Tener un volumen de negocio que no supere los 10 millones de euros anuales.<\/li>\n<li><strong><u>Medioambientales:<\/u><\/strong>No desarrollar una actividad que genere un da\u00f1o significativo al\u00a0medioambiente conforme al Reglamento (UE) 2020\/852 del Parlamento\u00a0Europeo y del Consejo de 18 de junio de 2020 relativo al establecimiento de un marco para facilitar las inversiones sostenibles y\u00a0por el que se modifica el Reglamento\u00a0(UE) 2019\/2088.<\/li>\n<li>Si la empresa interesada pertenece a un <strong><u>grupo de empresas<\/u><\/strong> en los\u00a0t\u00e9rminos definidos por el art\u00edculo 42 del C\u00f3digo de Comercio, el grupo o cada una de las empresas que lo componen deben cumplir con los\u00a0requisitos anteriormente descritos.<\/li>\n<li><strong><u>Requisitos adicionales:<\/u><\/strong>No estar fundadas o dirigidas por s\u00ed o por persona interpuesta, que no\u00a0est\u00e9 el corriente de las obligaciones tributarias y con la Seguridad\u00a0Social.<\/li>\n<li>No estar fundadas o dirigidas por <strong><u>s\u00ed o por persona interpuesta condenadas por sentencia\u00a0firme por un delito de administraci\u00f3n desleal, insolvencia punible,\u00a0delitos societarios, delitos de blanqueo de capitales, financiaci\u00f3n de\u00a0terrorismo, delitos contra la Hacienda P\u00fablica y la Seguridad Social,\u00a0delitos de prevaricaci\u00f3n, cohecho, tr\u00e1fico de influencias,\u00a0malversaci\u00f3n de caudales p\u00fablicos, fraudes y exacciones ilegales o por\u00a0delitos urban\u00edsticos , as\u00ed como a la pena de p\u00e9rdida de la posibilidad de\u00a0obtener subvenciones o ayudas p\u00fablicas.<\/u><\/strong> Tambi\u00e9n no haber perdido la posibilidad de contratar con la Administraci\u00f3n p\u00fablica;<\/li>\n<li>No tener <strong><u>socios titulares, directa o indirectamente, de una participaci\u00f3n\u00a0de al menos el 5% del capital social o cuyos administradores hayan\u00a0sido condenados por sentencia firme <\/u><\/strong>por alguno de los tipos delictivos\u00a0arriba referenciados.<\/li>\n<\/ul>\n<p>&nbsp;<\/p>\n<p>La acreditaci\u00f3n formal del emprendimiento innovador corre a cargo de ENISA, la Empresa Nacional de innovaci\u00f3n, S.M.E., S.A. Los criterios definitivos para acreditar la empresa emergente \/EE\/, la existencia del proyecto emprendedor y la escalabilidad del modelo de negocio se publicar\u00e1n mediante la orden ministerial conjunta del Ministerio de Asuntos Econ\u00f3micos y transformaci\u00f3n Digital, el Ministerio de Industria, Comercio y Turismo y el Ministerio de Ciencia e innovaci\u00f3n.\u00a0\u00a0<a href=\"https:\/\/www.enisa.es\/\">https:\/\/www.enisa.es<\/a><\/p>\n<p><u>\u00a0<\/u><\/p>\n<p>A fin de conseguir la acreditaci\u00f3n formal de <strong>EMPRESAS EMERGENTES<\/strong>, se deben considerar cuidadosamente aspectos legales y t\u00e9cnicos.
